Learning outcomes

The main purpose of the course is to give a comprehensive view of the principles which govern international trade and cross-border contracts. Students should become aware of the differences between domestic and international contracts and able to deal with the questions arising from the latter category.

Course contents

International trade - The sources of international business law - Lex mercatoria - Unidroit Principles - Definition of international contract - The most common clauses - Drafting tecniques, negotiations, conclusion - Battle fo the forms - Force majeure and hardship - The applicable law - The competent jurisdiction - International sale of goods - International distribution agreements.
