Learning outcomes
The acquisition of in-depth knowledge of the discipline of the company, especially when operated in a corporate form, and the treatment of its crisis, with institutional references to credit securities. The course will explore some of the topics of greatest interest relating to the sectors indicated above.
Course contents
The acquisition of in-depth knowledge of corporate law, especially when practiced in corporate form, with institutional references to credit instruments and business contracts. The course will also explore the topics of corporate innovation, particularly startups, crowdfunding, and private equity.
Erasmus students will be able to compare Italian law with the corresponding law of the member Sato of origin in the slides.

Teaching methods
lectures, on the topics covered by the program, interspersed with exercises on concrete cases and testimonies of experts in the fields covered. There will be two specific focuses, one at the end of each module.
Assessment methods
The exams aim to assess the knowledge acquired in the subject, through questions that focus on the program and counter-checks to ensure that the preparation is not only mnemonic, but substantial.
The partial I examination is conducted in written form, with multiple-choice questions answered, and the grade is cast at 30/30. The partial is worth 30% of the overall grade, for students who accept the grade. During the pre-partial exam break, a test is administered to familiarize yourself with self-assessment answers.
Partial Exams II and III (where the partial I grade was accepted by the *student*) account for 70% of the total, are administered orally and consist of at least 3 questions on the second part of the program.
The final vote is therefore the resultant of the following formula:
X= (Y+30%)+(Z+70%), where X is the final grade, Y the grade of the partial I, Z of the partial II.
L* student* can opt, until the conclusion of the exam for the total, by requesting a question also on the part of the program already covered by the partial I.
The third appeal is exclusively total (and oral) and will therefore consist of at least 1 application for the first part and three applications for the second part.
* students* who have taken the partial I will receive a question on a topic from the first part of the course which will be indicated (in virtual/unibo.it). The Teacher will still take into account the evaluation obtained in the partial I, according to the following formula:
X= [(Y*50%)+(K*50%)*30%]+(Z*70%), where K is the grade given to the question asked in the oral exam and relating to the first part of the program
Grades are assigned in relation to the level of preparation according to the following grid:
- 18-23: sufficient preparation but relating to a limited number of contents foreseen by the teaching programme;
· 24-27: adequate preparation but with gaps compared to the contents foreseen by the teaching program;
· 28-30: in-depth mastery of all the contents foreseen in the teaching program;
· 30L: excellent knowledge of the contents of the teaching program.
Teaching tools
For each lesson, illustrative slides are prepared, with references to jurisprudence and doctrine, and with explanatory examples. The slides are published in virtual/unibo.it.
In the presence of Erasmus students, the topics of Italian commercial law will be discussed, in comparison with the Company Directive (2017/1132) and in comparison with national student law.
