Learning outcomes

deep knowledge of italian Company Law, focus on Limited companies and their role within business law.

By the end of the course, students will be able to:

  • Offer commercial consulting services to limited compaines and public entities.

  • Identify and select the most appropriate Selecting organizational structures based on economic activity.

  • Apply the various tools offered by company law to optimize business outcomes.

Course contents

Notion of companies and partnerships

Companies:

-financial structure; organization structure

- Company group;

- Limited liability company;

- Start up, PMI;

- Stock limited partnership;

- Winding-up, changing, merger and splitting;

- Cooperatives.

- M&A

- Crowdfunding;

-ESG and corporate governance

Assessment methods

oral examination, and conducted in person, except in exceptional cases.

The use of codes, lecture notes, or other materials is not allowed during the exam, with the exception of students with disabilities, where required.

To register for the exam, students must enroll online via Alma Esami.

Attending the course is usefull for a better understanding and presentation of the topics covered, as well as for the correct use of the civil code.

Grading Scale:
  • 18-19: Preparation on a limited number of topics covered in the course; analytical ability emerges only with the instructor's assistance. Generally correct language usage.

  • 20-24: Preparation on a limited number of topics covered in the course; autonomous analytical ability only for purely executive matters. Correct language usage.

  • 25-29: Preparation on a wide range of topics covered in the course; ability to make independent critical analytical choices; mastery of specific subject terminology.

  • 30 and 30L: Substantially exhaustive preparation on the topics covered in the course; ability to make independent critical analytical and connective choices. Full mastery of specific terminology and ability to argue and self-reflect.
