Learning outcomes

The course is aimed at giving the corporate governance rules for the Insurance and banking sector, at EU level, as main player of the financial market, facing the new challenges of technological transformation and green transition. The course will showcase key aspects of corporate governance of financial players, crucial company functions related to risks, the role of the board of directors, the impact of conduct and reputation on the long-term company success. Insights will be given on the interplay between insurance and banking regulation vis a vis shareholders, regulators and stakeholders, also in parallel consideration of UK corporate governance rules. The course will consider the impact of ESG factors on the banking and insurance governance structures, regulation and corporate governance rules in relation to sustainable success as a key component of modern corporate governance codes and best practices. At the end of the course students will be able to manage legal rules of the financial sector related to corporate governance, in light of a smooth functioning of financial markets. Students will be able to make in depth comparison between the banking and the insurance sector, to manage the different sources of hard and soft law related to financial players and the interaction of different regulatory bodies and supervising authorities, to evaluate the role of insurance and banks on global financial stability and their dynamics in tackling global crisis.

The teaching materials will consist solely of slides and selected academic papers, which will be made available on the course's virtual platform

Teaching methods

The teaching method will always include a brief lecture-style introduction and subsequent discussion. A Socratic method will be adopted primarily and students will be expected to prepare for and participate regularly in individual or group discussions in class. The course also relies on a case study method. key note speakers from Industry, regulation, consultancy and legal will bring their experience in view of undescoring the real world applications of the competences.

Assessment methods

The exam will be case-based and will consist of short open-ended questions.
