Learning outcomes
Upon completion of the course, the student will be familiar with the major business combinations —such as business transfers and contributions, transformations, mergers, demergers, and acquisitions—and will understand their strategic objectives, business implications, and key legal, economic, accounting, and tax aspects. The student will be able to analyze the various technical structures of M&A operations and evaluate their economic, financial, and legal impacts. Furthermore, the student will be capable of providing preliminary advisory guidance to support management in selecting the most appropriate methods for executing such transactions, even in complex scenarios.
Course contents
The course covers the legal, strategic, accounting, economic and tax aspects of major business combinations. The following arguments will be addressed during the lectures: - M&A processes and the category of extraordinary transactions - Extraordinary financial statements - Sale of a business - Contribution of a business - Merger - Demerger

Teaching methods
Lectures, exercises, tutorials, questions with classroom discussion and business case studies. All the material used during the lessons (slides, exercises, solutions, etc.) will be available to students on the UNIBO VIRTUALE platform.
Assessment methods
Written exam. Students must demonstrate knowledge of the conceptual framework and procedures covered in the course, as well as the ability to apply them. The exam is structured as follows: - an exercise calculating the exchange ratio and merger or demerger differentials - three open-ended questions on the course topics - a multiple-choice test. There is no supplementary oral exam. There is no supplementary oral exam. A test model will be available on the Unibo VIRTUALE platform. The graduation of the results is as follows: - insufficient <18 - sufficient 18-23 - good 24-27 - excellent 28-30 - excellent 30 cum laude.
