Learning outcomes
By the end of the course, the student acknowledges the matters related to corporate income taxation and group taxation, including tax planning issues.
Course contents
1) The transformation: art. 170 of the TUIR, particularly:
a. Determination of income before and after the transformation
b. Transformation from an entity subject to IRES to an not subject to IRES entity and viceversa
c. Carry forward of losses
d. Regime of the accumulated profits generated before the transformation and taxation of it
2) The underwriting in goods, business units and shareholdings ex art. 2359 of the Civil Code: artt. 9, 175, 176 and 177 of the TUIR and particularly
a. Participation exemption regime and anti abuse clause
b. Determination of costs for fiscal purposes
c. Quantification of relative (possible) capital gain
d. Taxation of the capital gain up to the underwriter
e. Underwritten goods regime
f. Anti abuse clause – art. 37-bis of Presidential Decree n. 600/1973
g. Underwriting of the sole business unit by the entrepreneur
h. Fiscal regime of the exchange of shareholdings
3) The merger: art. 172 of the TUIR, particularly:
a. Notion of merger operation
b. Fiscal use of merger differences
c. Capital increase regime up to the acquiring company
d. Regime of the temporarily not subject to tax accumulated profits
e. Use of the fiscal losses
f. Fiscal effects of the merging
4) The de-merger: art. 173 of the TUIR, particularly:
a. Notion of de-merger operation
b. Fiscal use of de-merger differences
c. Appropriated surplus regime
d. Regime of the temporarily not subject to tax accumulated profits
e. Use of the fiscal losses
f. Fiscal effects of the de-merger
International Tax Law
1) General considerations on international tax law: the system of tax law, the notion of international double taxation, the double tax treaties;
2) General considerations on EC tax law;
3) Taxation of enterprises: fiscal residence and permanent establishment
