Learning outcomes
The acquisition of in-depth knowledge on the rules governing business activities – included company law - and their crisis, with institutional references to securities law.
Course contents
A. Students not attending French-Italian course and who are not Erasmus students:
- The enterpreneur;
- Company law;
- Securities law;
- Bankruptcy and other proceedings for the crisis of the companies.
B. Students attending French-Italian course and Erasmus students:
- The enterpreneur;
- Company law;
It is possible only reading the chapters dedicated to the following topics: L'acquisto della qualità di imprenditore. I segni distintivi. Opere dell'ingegno. Invenzioni industriali. La disciplina della concorrenza. I consorzi fra imprenditori. Le partecipazioni rilevanti. I gruppi di società. La società in accomandita per azioni. Trasformazione. Fusione e scissione. C. Students who have already attendend other Universities or other courses and who need "credits" must study the topics above indicated, sub A), not already studied in said Universities and said courses.

Teaching methods
Lectures aim to make a framework - and to stimulate debates - about the main rules stated by our legal system and the most important tendecies of the authors and of the judges, for every topic.
Propaedeutic exams: Private Law; Constitutional Law.

Assessment methods
Oral examination during which the students will have to show their knowledge of business law by discussing four topics studied in their textbooks.
Students with learning disorders and/or temporary or permanent disabilities can contact the office responsible (https://site.unibo.it/studenti-con-disabilita-e-dsa/en/for-students) as soon as possible so that they can propose acceptable adjustments. The request for adaptation must be submitted in advance (15 days before the exam date) to the lecturer, who will assess the appropriateness of the adjustments, taking into account the teaching objectives.
By way of example, the following criteria will be used to assess the final mark:
- sufficient or barely sufficient knowledge on the programme, limited reasoning ability, some difficulties in using technical and legal language → 18-21/30;
- fairly good knowledge of the programme, adequate critical reasoning ability, enough good use of technical and legal language → 22-25/30;
- good knowledge of the programme, notable reasoning ability, good command of technical and legal language → 26-29/30;
- full knowledge of the programme, very good reasoning ability, and ability to fully master technical-legal language → 30-30L/30.
Thesis: it is possibile to ask for a thesis directly to Prof. Guerrieri.
Teaching tools
Apart from the handbooks suggested for studying all the contents of the course, during the lectures the teacher will indicate other books, articles, judgments about subjects which could be particularly interesting for the students.
Students interested in deepening the studies in commercial law could attend on or more of the following courses: diritto della crisi d'impresa, diritto bancario, diritto dei mercati finanziari, diritto industriale, copyright law, diritto delle tecnologie digitali, diritto ed economia comportamentale, diritto ed economia della cooperazione.
