Learning outcomes
At the end of the module, students: - know the main principles and concepts of European law of corporations in a comparative and international perspective, with a focus on European Union law and the laws of its major Member States; - can work with multiple sources of law (e.g., regulations, directives, national laws) and judicial cases and appropriately engage with an intricate web of rules of law belonging to different jurisdictions and originating in different national contexts.
Course contents
The course gives a detailed account of what corporate law and corporate governance are in an international and comparative perspective. To this end, the course focuses on some specific selected topics:
- Characteristics of the corporation;
- Protection of the shareholders;
- Protection of creditors;
- Protection of other non-shareholder constituencies.
As to the above-mentioned topics, in addition to discussing the theoretical framework the lecturer will present one or more judicial cases to get students acquainted with how critical issues are litigated in court.

Readings will be listed ahead of the beginning of the course and will be made available on Virtuale.
Teaching methods
Each lecture will be dedicated to a specific topic. After introducing the topic and pointing out all relevant issues pertaining thereto, the lecturer will invite the class to actively participate and debate.
Assessment methods
Written exam consisting of multiple-choice questions.
Teaching tools
In addition to regular reading materials the lecturer will use slides, which will be made available to students before class and then shown and discussed in class.
