Learning outcomes

The goal of the course is to give the students a complete knowledge of company law, negotiable instruments law, contract law and bankruptcy law.

Course contents

For all the students:

- the entrepreneur;

- company law;

- negotiable instruments.

Only for the students attending the course "Laurea magistrale":

- commercial contracts;

- bankruptcy and other proceedings for the crisis of the companies.

The students have the possibility to prepare a brief dissertation about one of the chapters of the book La nuova società a responsabilità limitata, a cura di M. Bione, R. Guidotti, E. Pederzini (Trattato di diritto commerciale e di diritto pubbl. dell'economia by di F. Galgano), Cedam, Padova, 2012: the dissertation can be discussed with the professor during the examination.

Assessment methods

During the oral exam the students will have to show their knowledge of business law by discussing their dissertation, if any, and two or three subjects studied in their textbook.

Teaching tools

During the lectures the teacher will indicate other books, articles, and judgments about subjects which could be particularly interesting for the students.
