Course contents

The course is structured into two parts: part I (approximately 20 hours) focuses on the law governing international trade and international commercial contracts, part II (approximately 10 hours) focuses on EU company law, with reference also the the U.S. and U.K. law of publicly listed companies. Part I covers, among other topics, (a) the different sources of the law governing international trade, with specific reference to the most important international conventions and treaties, to the Unidroit principles and to the “lex mercatoria”; (b) the legal principles governing international trade and commercial contracts; (c) the most important international commercial contracts, such as the international sale of goods, international distribution contracts such as franchising, international financial contracts like leasing and factoring; (d) the mechanisms and rules of international dispute resolution.

Part II will focus on the process of European company law harmonization and on the topics of corporate freedom of establishment and EU regulatory competition. The Societas Europaea, the European Economic Interest Grouping and the English and American public company model will be covered as well.
