Learning outcomes
The aim of the course is to provide the student with a complete preparation on the Italian law of cooperative societies and other non-profit organizations, with particular emphasis on the principle of mutuality also prevalent within company law. At the end of the course the student is able to: - provide consulting services to cooperative societies and public and private bodies; - identify and select the most appropriate association structure for the pursuit of non-lucrative economic activities in compliance with the principles of cooperative democracy and variability of social capital; - use the various tools that the right of companies and non-profit organizations provides for the optimization of business results also in the mutual and non-lucrative field.

The new prevalent and non-prevalent mutuality; Criteria for the definition of prevalence; The constitution of the cooperative; The contributions; Relationships with members; Responsibility for social obligations; The patrimonial rights of the members; Soci cooperatori and soci funders; Shares and units and their transferability; Withdrawal of the member's exclusion and death, quota clearance; Social bodies: assemblies; administration and Control; the reserves; And refreshments; The parity group; The amendments to the instrument of incorporation; Transformation merging and splitting; Consortia
