Learning outcomes
At the end of the course students will achieve an in-depth knowledge of the law governing entrepreneurial activities and business organizations. They will know the general legal framework in which entrepreneurial activity takes place. They will know the different types of business organizations, understand the main governance problems of each of them and the solutions offered to such problems by the law.
Course contents
The regulation of entrepreneurial activity, with specific focus on the following topics:
- The legal notion of "entrerprise" and "firm"
- Competition law
- Joint ventures, firm associations and networks
- European economic interest grouping
The law of business organizations, with specific focus on the following topics:
- The business organization in general
- Partnerships
- The joint stock company
- The limited liability company
- Cooperatives
- Societas Europaea
- Transformations, mergers, spin-offs
- Corporate groups
The main features of bankruptcy law and the major bankruptcy procedures

Classes held by the course teacher. Active class participation is strongly encouraged.
Assessment methods
Oral examination at the end of the course.
Teaching tools
Textbook and slides. For an active and fruitful class participation, use of an updated civil code, complemented with the most important business legislation, is encouraged.
