Learning outcomes

The Course is entirely focused on contract and aims to reconstruct in detail the general discipline of this institute and the discipline of the most relevant contracts.

Teaching activity, even in the form of seminars and guided research, will be constantly focused on case law.

The primary objective of the Course is to enable the student to reconstruct the key principles of the issue of contract - expecially in the light of the significant evolution that has characterized the system in recent times - and to deepen the characters of the discipline of contract and the most relevant operating rules in order to provide to the students a method of critical analysis of case law and scholar's theories.

First part

a) Obligation in general.

- fulfillment and non-fulfillment;

- Discharge of the obligation for reasons other then from performance;

- Circulation and other events of the obligatory relationship.

b) Contract in general.

- Defintion and key principles;

- Requirements of the contract;

- Term and Condition;

- Effects;

- Voidness: nullity and annulment;

- Simulation;

- The legal principle of appearance;

- The representation;

- Interpretation;

- Trust;

- Resolution;

- The duty of good faith and the abuse of the rights.

Second Part

c) The following contracts:

- Sale and exchange;

- Procurement contract;

- Mandate.

Teaching methods

Lessons will be delivered by Prof. Luigi Balestra - owner of the Course - and by Prof. Barbara Grazzini (regular lecturer of a module).

The first semester courses will be held according the mode described in the following section.

The analysis of case law will be guided by Tutors.

Teaching activity will be divided into Lectures and related actvities which aim to encourage students to be involved in the Course.

In parallel to the lessons, one or more practices will take place face to face or online, lasting about 2 hours, consisting in the concise illustration of a topic by the teacher and in the delivering to the students of an open-ended question, in the drafting by students of a written text following the instructions set out above (within the time limits and according to the extension indicated by the teacher), finally in the self-correction by the students following a description by the teacher of the optimal methods and contents of the written answer, leaving the students time for questions and request for verification of any errors.

 

Assessment methods

The exam will take place exclusively in oral form.

The interview will focus on at least three of the topics indicated in the "Program and contents" section.

The evaluation of the test will be carried out taking into consideration:

- Knowledge of institutional profiles

- The ability to analyze the jurisprudential and doctrinal guidelines

- The ability to make connections between the different parts of the program

- The ability to develop critical arguments

- The articulation of the exposure

- Accuracy of exposure.

Classes are held on annual basis and, therefore, students which obtain the certificate of attendance in the current academic year can take the exam only from May.

The final evaluation will be graded considering the following criteria:

- preparation on most of the topics of the exam program, but with limited analytical skills, such as to require the explanatory intervention of the teacher; correct language, but without technicality: 18-21;

- preparation on the whole exam program, with autonomous analytical skills, even if not in depth, ccorrect language, but without technicality: 22-24;
preparation on the whole exam program, with autonomous and in-depth analytical skills, correct and sufficiently technical language: 25-27;

- preparation on the whole exam program, with independent and in-depth analytical skills, good mastery of language of technical language: 28-29;

- preparation on the whole exam program, with independent and in-depth analytical skills, excellent mastery of language of technical language: 30-30L

Prerequisites

Students are allowed to take the Civil Law examination only after having taken Private Law and Public Law.

Degree thesis

The degree thesis will be assigned by Prof. Luigi Balestra after an interview.

Students will be supervised by a tutor provided by Prof. Luigi Balestra.

Teaching tools

Students attending the Course will be able actively involved in analysis of cases, in order to perceive the evolution of case law in relation with topics covered in class.

Small groups' activities will allow students to interact with the Course tutors and with other partecipants. Writing short essays is also encouraged; papers will be assessed during the examination.

Students which need compensatory tools for reasons of disability or Specific Learning Disabilities (SLD) will communicate to the teacher their needs so as to be directed to the dedicated person and arrange on the adoption of the most appropriate measures.

Erasmus students can ask to the Professor adjustment of the program according their learning agreement.

Office hours

Because of the emergency due to the COVID-19 pandemic, students will be received online with the platform TEAMS that is already used for the lessons. Students may contact collaborators to fix an appointment online.
