Learning outcomes

The main purpose of the course is to give a comprehensive view of the principles which govern international trade and cross-border contracts. At the end of the course, students: - are aware of the differences between domestic and international contracts - are able to deal with the questions arising from the latter category - are capable of understanding corporate law in terms of mergers, acquisitions and joint ventures at the international level

Course contents

1) INTERNATIONAL TRADE: THE TYPES OF BUSINESS ORGANISATION. A) Companies: - Relevance of national law; - Subsidiary companies and groups of companies; - Foreign branches; - Transfer of the official address and rigth of establishment in accordance with EU law; - Multinational enterprises; - The European Company. B) Joint Ventures. C) Consortium agreement. D) European Economic Interest Grouping.
2) INTERNATIONAL TRADE: INSTRUMENTS. A) International commercial contracts; - General profiles: - The law governing the contract; - Disputes resolution. B) Types of international contract: - International sale of goods; - International distribution; - International agency; - International transfer of teconology; - International lease; - International factoring.

Texts and materials will be suggested during the course.

Teaching methods

During lectures practical cases will be examined.
